Terms of Use

These Terms of Use ("terms") govern access to and use of the FACILITI web dashboards, mobile applications and related services (collectively, the "Services"). The Services are provided by Faciliti Technologies Private Limited ("FACILITI", "we", "us", "our"), registered at 44, 2nd Floor, Regal Building, Connaught Place, New Delhi 110001. By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a Client, you represent that you are authorised to accept these Terms on the Client's behalf.

1. Definitions

  • "Client" means the organisation (e.g., residential society, campus, enterprise, security agency) that has procured the Services from FACILITI.
  • "Authorised User" means an employee or representative of the Client authorised to use the Services (e.g., guest, supervisor, facility manager, resident).
  • "Visitor" means a guest or contractor whose entry is recorded by the Services.
  • "Data Principal" has the meaning under the Digital Personal Data Protection Act, 2023 (DPDP).
  • "quickprism® / quickID" means the privacy-preserving identity layer that may verify identities (including via DigiLocker) and issue pseudonymous identifiers used by the Services.
  • "Premises Data" means logs and records related to a Client's site(s) generated via the Services.

2. Relationship and scope

a) License via Client: If you are an Authorised User or Visitor, your access is provisioned by a Client under its subscription. The Client determines why and how personal data is processed for its site(s) and is the data fiduciary/controller.

b) Platform provider: We provide the technology platform and process data on the Client's documented instructions. For our public website, billing, vendor management and corporate operations, FACILITI is the data fiduciary/controller.

c) Additional terms: Your use is also subject to our Privacy Policy and any agreement between FACILITI and the Client (collectively, the "Agreement"). In the event of a conflict between these Terms and the Agreement with the Client, the Agreement shall prevail regarding the Client relationship.

3. Eligibility and accounts

a) You must be legally capable of entering into a contract and, where applicable, be authorised by the Client to use the Services.

b) You must provide accurate information and keep credentials confidential. You are responsible for all activity under your account.

c) If you suspect unauthorised use, notify the Client administrator and FACILITI support immediately.

4. Acceptable use

You must not:

  • Copy, modify, translate, reverse engineer or create derivative works of the Services (except where permitted by law).
  • Probe or bypass security or access controls.
  • Upload malicious code or interfere with operation.
  • Use the Services to collect or disclose personal data beyond what is necessary for lawful purposes and security operations.
  • Export, share, or post screenshots/printouts of logs for unrelated purposes.
  • Misrepresent identity, affiliation or authorisations.
  • Use the Services in a manner that violates law, the Client's policies, or these Terms.

5. Identity and verification

a) quickprism® / DigiLocker: Where configured, identity proofing is performed through quickprism® (including QuickID and DigiLocker-based verification). quickprism® is operated separately under its own terms and privacy policy.

b) Alias, not raw ID: FACILITI typically receives an alias/verification result and event metadata, rather than raw Aadhaar, PAN, or similar identity documents, unless the Client lawfully requires otherwise.

6. Privacy and data handling

a) Privacy Policy: Our Privacy Policy describes how we collect, use and safeguard information. By using the Services, you consent to those practices.

b) Cookies: We do not run marketing cookies on the public website. The dashboard uses essential security cookies to confirm access from an authorised machine.

c) Hosting: We use infrastructure located in India (AWS, Microsoft Azure, and De Nada Tecnologia private servers in India). See the Privacy Policy for details.

d) No sale of personal data: FACILITI does not sell personal data.

7. Retention

By default, FACILITI does not store raw personal identity data on its servers. Access to personal data is secured using the quickID protocol. Within a Client's account, visit logs, incident records, audit trails, support, and billing records remain available while the Client uses the Services. Upon termination, access is revoked, and associated data is either deleted or irreversibly anonymised, as per our Privacy Policy and applicable law.

8. Service changes and availability

a) We may improve or modify features, introduce new functionality or discontinue components with reasonable notice where practicable.

b) We strive for continuous uptime, but cannot guarantee uninterrupted availability. Maintenance and updates are communicated via the dashboard or status channels.

9. Trials, pilots and betas

From time to time, we may offer trial, pilot or beta features ("Beta Features"). Beta Features are for evaluation, may be limited or unstable, and are provided "as is" without warranties. We reserve the right to modify or withdraw Beta Features at any time.

10. Fees and billing

a) Pricing: Fees are typically billed to the Client under a subscription that scales primarily by visitor volume. End users generally do not pay fees directly to FACILITI.

b) Taxes and payments: Invoices are exclusive of applicable taxes unless stated otherwise. Late or failed payments may result in suspension, as outlined in the Agreement.

c) No feature gating: All Clients receive the full product capability appropriate to the deployed modules; pricing varies by permitted usage and visitor volume.

11. Intellectual property

The Services, including software, logos, content and documentation, are owned by FACILITI and its licensors. Except for the limited rights expressly granted, no rights are conveyed by implication or otherwise. If you submit feedback, we may use it without restriction or obligation.

12. Third-party services

The Services may interoperate with third-party tools (e.g., quickprism®, DigiLocker). FACILITI does not control third-party services and is not responsible for their availability, legality or policies.

13. Security

We implement encryption in transit and at rest, role-based access controls, continuous logging and incident response. We undergo independent assessments by CERT-In empanelled auditors, including VAPT 2025 and SAR 2025. You are responsible for device security (OS updates, screen locks) and for following the Client's site procedures.

14. Suspension and termination

We may suspend or terminate access immediately if required by law, at the Client's request, due to a security risk or breach of these Terms, or upon expiration of the Client's subscription. Upon termination, you must cease use and may lose access to data.

15. Warranties and disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". FACILITI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. FACILITI does not warrant that the Services will prevent all unauthorised access or incidents.

16. Limitation of liability

To the maximum extent permitted by law, FACILITI's aggregate liability to you arising out of or related to the Services is limited to the greater of INR 10,000 or the amounts paid by the Client to FACILITI for the three months preceding the event giving rise to liability. FACILITI will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data or use.

17. Indemnity

You will indemnify and hold harmless FACILITI and the Client from third-party claims arising from your unlawful use of the Services or breach of these Terms.

18. Compliance and lawful use

You will comply with applicable laws, including DPDP and site rules. You will not use the Services for unlawful surveillance, discrimination, harassment or other prohibited conduct.

19. Confidentiality

You may access confidential information (e.g., non-public dashboards, procedures). You must not disclose such information except to perform your role for the Client or as required by law.

20. Export controls and sanctions

You represent that you are not subject to sanctions that would prohibit the use of the Services and will not use the Services in violation of export control or sanctions laws.

21. Governing law and dispute resolution

The laws of the Republic of India govern these Terms. Courts in New Delhi have exclusive jurisdiction. Disputes will first be addressed amicably; unresolved disputes may be referred to arbitration in New Delhi under the Arbitration and Conciliation Act, 1996, by a sole arbitrator. Proceedings will be in English.

22. Changes to these Terms

We reserve the right to update these Terms to reflect any legal, technical or business changes. The effective date/version will be updated, and material changes will be communicated on the website or in the dashboard. Continued use after changes indicates your acceptance of the updated Terms.

24. Entire agreement; severability

These Terms, together with the Privacy Policy and any applicable Agreement with the Client, constitute the entire agreement regarding access to and use of the Services. If any provision is held unenforceable, the remainder of these Terms will remain in full force.
